1.1 "Service" refers to the AI phone service, appointment booking & customer support solutions provided by VynAura.
1.2 "User" refers to the company or individual accessing or using the Service.
1.3 "User Content" means any data, information, or material provided or submitted by the User while using the Service.
2.1 VynAura grants the User a non-exclusive, non-transferable, and limited right to access and use the Service during the subscription period, subject to this Agreement.
2.2 The User agrees to use the Service only for lawful purposes and in compliance with applicable laws and regulations.
2.3 The User shall not:
(a) Copy, modify, or create derivative works of the Service.
(b) Reverse engineer, decompile, or disassemble the Service.
(c) Sell, resell, rent, lease, or sublicense the Service.
(d) Use the Service to store or transmit infringing, unlawful, or misleading material.
3.1 VynAura retains all rights, title, and interest in and to the Service, including all intellectual property rights.
3.2 The User retains all rights, title, and interest in and to their User Content.
4.1 VynAura’s collection, use, and disclosure of personal information are governed by its Privacy Policy, which is incorporated into this Agreement by reference and complies with GDPR and applicable Irish data protection laws.
4.2 The User acknowledges that VynAura may use third-party AI models to enhance the Service, and User Content may be shared with these models for processing, as detailed in the Privacy Policy.
5.1 The User shall pay applicable fees as set forth on VynAura’s pricing page or as otherwise agreed upon in writing.
5.2 VynAura reserves the right to modify its pricing with reasonable notice. Any price changes take effect at the start of the next billing cycle.
5.3 The User is responsible for all applicable taxes and charges associated with the Service, excluding VynAura’s corporate tax liabilities.
6.1 This Agreement remains in effect until terminated by either party.
6.2 Either party may terminate this Agreement at any time by providing written notice.
6.3 Upon termination, the User’s right to access the Service ceases immediately, and they must delete any stored data obtained through the Service.
7.1 The Service is provided "as is" and "as available" without warranties of any kind, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
7.2 VynAura does not guarantee that the Service will meet the User’s requirements or that it will be uninterrupted or error-free.
8.1 VynAura shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Service.
8.2 VynAura’s total liability under this Agreement shall not exceed the fees paid by the User in the 12 months preceding the event giving rise to the claim.
9.1 This Agreement shall be governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles.
9.2 Any disputes shall be resolved through binding arbitration in Ireland, unless otherwise required by law.
10.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior communications and agreements.
10.2 VynAura may modify this Agreement at any time by posting a revised version on its website. Continued use of the Service constitutes acceptance of the modified terms.
10.3 If any provision of this Agreement is deemed invalid, the remaining provisions shall remain in full force and effect.
